PLEASE READ CAREFULLY BEFORE CONTINUING TO ACCESS, BROWSE, OR USE THIS SHOP WEBSITE.

Welcome to https://shop.ratedbuildr.com (the “Shop”), operated by ratedBuildR LLC (“ratedBuildR”, “we”, or “us”). This Shop Agreement (“Agreement”) contains the terms and conditions for your use of the Shop and the related products and services available through it. This Agreement supplements the main ratedBuildR Terms of Use, which is incorporated herein by reference.

By accessing, browsing, creating an account, or purchasing products (“Products”) from the Shop, you indicate that you agree to and accept the terms contained in this Agreement. Use of the Shop is voluntary. If at any time you do not agree to these terms, you are not authorized to use the Shop and must discontinue use immediately.

You represent and warrant that you are at least 18 years of age and of legal competence to enter into this Agreement. If you are using this Shop on behalf of your employer, you represent and warrant that you are authorized to accept these terms on your employer’s behalf.

  1. USE OF THE SHOP & PROHIBITED USES

ratedBuildR imposes certain restrictions on your permissible use of the Shop. You are prohibited from violating or attempting to violate any security features of the Shop, including, without limitation:

  • Accessing content or data not intended for you, or logging onto a server or account that you are not authorized to access.
  • Attempting to probe, scan, or test the vulnerability of the Shop, or any associated system or network, or to breach security or authentication measures.
  • Interfering or attempting to interfere with service to any user, host, or network, including by submitting a virus, overloading, “flooding,” or “crashing.”
  • Using the Shop to send unsolicited email, including promotions or advertisements for products or services.
  • Forging any TCP/IP packet header or any part of the header information in any email or post.
  • Attempting to modify, reverse-engineer, decompile, or otherwise reduce to a human-perceivable form any of the source code used by ratedBuildR.
  • Using “bots,” spiders, or intelligent agent software for any purposes other than accessing publicly posted portions of the Shop for purposes consistent with this Agreement.
  • Data mining the Shop or in any way causing harm to the Shop.

Any violation of system or network security may subject you to civil and/or criminal liability. We may terminate your right to access the Shop if, in our sole discretion, you fail to comply with any term of this Agreement.

  1. PRIVACY POLICY

Information that you provide to us via the Shop is subject to our Privacy Policy, which is incorporated herein by reference.

  1. PRODUCT INFORMATION, PRICING, AND AVAILABILITY

Although ratedBuildR attempts to provide you with accurate information, the Shop is intended for informational and transactional purposes. Product and other information, including pricing, specifications, and availability on the Shop are subject to change at any time without notice to you and may not be accurate, complete, current, or reliable. All content is provided for informational purposes only and is not intended to constitute an offer or solicitation.

  1. ORDERS AND ACCEPTANCE

Placing an order constitutes an offer from you to purchase Products. All orders are subject to our acceptance. We may, in our sole discretion, refuse or cancel any order for any reason, including limitations on quantities available for purchase, inaccuracies in product or pricing information, or problems identified by our credit and fraud avoidance department. An order is not considered accepted until we have shipped the Product.

  1. PAYMENT & TITLE

All payments are processed through our third-party payment processor. By providing a payment method, you represent and warrant that you are authorized to use the designated payment method and that you authorize us to charge your payment method for the total amount of your order. Title and risk of loss for all Products pass to you upon our delivery of the items to the third-party carrier, as governed by our Shipping Policy.

  1. INTELLECTUAL PROPERTY

Unless otherwise noted, the design of the Shop, the Shop as a whole, and all materials that are part of the Shop (collectively, “Content”) are copyrights, trademarks, trade dress, or other intellectual property owned, controlled, or licensed by ratedBuildR or its subsidiaries and affiliates. You are granted a personal, non-transferable, non-commercial, and non-exclusive right and license to use the Shop. You are not permitted to copy, modify, create a derivative work of, reverse engineer, sell, assign, or otherwise transfer any right in the Shop. Without our prior permission, you agree not to display or use the “ratedBuildR” marks in any manner.

  1. DISCLAIMER OF WARRANTIES

YOU EXPRESSLY UNDERSTAND AND AGREE THAT: YOUR USE OF THE SHOP IS AT YOUR SOLE RISK. ALL USE OF THE SHOP, ANY INFORMATION, CONTENT, PRODUCTS, OR SERVICES HEREIN CONTAINED OR PROVIDED IS ON AN “AS IS” AND “AS AVAILABLE” BASIS. RATEDBUILDR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO ANY WARRANTIES OF TITLE, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

RATEDBUILDR MAKES NO REPRESENTATION OR WARRANTY THAT (1) THE SHOP WILL MEET YOUR EXPECTATIONS, (2) THE SHOP CONTAINS ACCURATE, COMPLETE, OR RELIABLE INFORMATION, (3) THE SHOP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR (4) ANY ERRORS IN THE SHOP WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SHOP IS DONE AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, YOU AGREE THAT RATEDBUILDR AND ITS AGENTS, DIRECTORS, OFFICERS, EMPLOYEES, VENDORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE OF DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF RATEDBUILDR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM THE USE OR THE INABILITY TO USE THE SHOP.

IN THE EVENT THAT ANY OF THE ABOVE LIMITATIONS ARE HELD INAPPLICABLE OR UNENFORCEABLE, RATEDBUILDR’S CUMULATIVE, AGGREGATE AND MAXIMUM LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED $1,000.00.

If you are a California resident, you agree to waive California Civil Code Section 1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

  1. INDEMNIFICATION & RELEASE

YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS, TO THE FULLEST EXTENT PERMITTED BY LAW, RATEDBUILDR AND ITS AGENTS, DIRECTORS, OFFICERS, EMPLOYEES, VENDORS, AND AFFILIATES (COLLECTIVELY, THE “RELEASED PARTIES”) FROM AND AGAINST ALL CLAIMS, DEMANDS, LIABILITIES, LOSSES, EXPENSES, DAMAGES AND COSTS, INCLUDING REASONABLE ATTORNEYS’ FEES, RESULTING FROM, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, UNLAWFUL USE, OR INABILITY TO USE THE SHOP, OR YOUR BREACH OF THESE TERMS. YOU SHALL COOPERATE AS FULLY AS REASONABLY REQUIRED IN THE DEFENSE OF ANY CLAIM. WE RESERVE THE RIGHT, AT OUR OWN EXPENSE, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY YOU.

  1. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising from this Agreement or your use of the Shop shall be resolved exclusively in accordance with the Mutual Arbitration Agreement found in the ratedBuildR Terms of Use, which includes a class action waiver and is incorporated herein by reference.

  1. GENERAL INFORMATION

This Agreement, along with the ratedBuildR Terms of Use and Privacy Policy, constitutes the entire agreement between you and ratedBuildR and governs your use of the Shop, superseding any prior agreements. The failure of ratedBuildR to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
